Dividend Policy

According to Indonesian regulations, decisions regarding the distribution of dividends are determined through the approval of shareholders at the Annual General Meeting of Shareholders (AGM) based on recommendations from the Company's Board of Directors. The Company can distribute cash dividends in a year when the Company records a positive retained earnings balance.

The Company's Articles of Association allow for the distribution of interim cash dividends, provided that these interim cash dividends do not reduce the Company's net assets below the subscribed and paid-up capital and comply with the mandatory reserve requirements as stipulated by the prevailing laws and regulations. The distribution will be determined by the Company's Board of Directors after approval by the Board of Commissioners. If, at the end of the Company's financial year, it incurs a loss, the distribution of interim dividends must be returned by the shareholders to the Company, and the Board of Directors, together with the Board of Commissioners, will be jointly responsible if the interim dividends are not returned to the Company.

While considering the Company's business prospects, working capital requirements, capital expenditures, and investment plans for the future, the Company's financial condition from time to time, and without diminishing the AGM's right to determine otherwise in accordance with the Company's Articles of Association and in compliance with applicable laws and regulations, the Company has a dividend policy to make dividend payments to shareholders of the Company in an amount of approximately 50% (fifty percent) of the Company's current year net profit.
